• "Products" means all hearing aids, assistive listening devices, accessories, batteries, ear moulds, and related hardware sold through the Website.
• "Services" means hearing assessments, audiological consultations, fitting sessions, repair and maintenance services, after-sales support, home visits, and any other services provided by the Company.
• "User Account" means a registered profile created by a user on the Website.
• "Order" means a request submitted by a user to purchase Products or Services.
• "Audiologist" means a certified hearing care professional employed by or associated with the Company.
• "Content" means all text, images, audio, video, data, software, and other material available on or through the Website.
• "Personal Information" means any information that can be used to identify you, as described in our Privacy Policy.

The Company will not be liable for any loss arising from your failure to comply with these security obligations.

3.3Account Suspension and Termination

The Company reserves the right to suspend, restrict, or permanently terminate your account without prior notice in the event of violation of these Terms, provision of false information, fraudulent or harmful conduct, non-payment, or upon request by law enforcement or government authorities.

3.4Audiological and Medical Information

When using our Services, you may be required to provide medical and audiological information, including audiograms and hearing assessments. You agree to provide truthful and complete information. This data will be treated with strict confidentiality in accordance with our Privacy Policy and applicable data protection laws.

3.5Minors

Our Website and Services are not directed to individuals under the age of 18. Minors may use our platform only under the supervision of a parent or legal guardian who agrees to be bound by these Terms.

4.1Product Availability

All Products listed on the Website are subject to availability. The Company reserves the right to limit quantities, discontinue any Product, or modify product specifications at any time without prior notice.

Where EMI or financing plans are offered, they are subject to the terms and conditions of our financial partners. Approval is at the discretion of the relevant financial institution. The Company does not guarantee the availability or approval of financing options.

5.4Invoices and GST

A tax invoice compliant with the Goods and Services Tax Act, 2017 will be issued for all purchases. It is your responsibility to provide accurate GST details if you intend to claim input tax credit.

6.1Delivery

Estimated delivery timelines are for reference only and are not guaranteed. The Company is not liable for delays caused by courier partners, adverse weather, natural disasters, or other circumstances beyond our reasonable control.

6.2Risk and Title

Risk of loss and title passes to you upon delivery. We recommend inspecting your package upon receipt and reporting any damage or discrepancy within 48 hours.

6.3Returns and Refunds

Returns and refunds are governed by our Return and Refund Policy, incorporated into these Terms by reference. As hearing aids are custom-fitted medical devices, returns may be subject to specific conditions and assessment by our audiologists.

6.4Warranty

Products are covered by manufacturer warranties specified at the time of sale. Warranties do not cover physical damage, water damage beyond rated protection, battery-related damage, or modifications by unauthorised parties.

7.1Ownership of Content

All content on synva.io, including text, graphics, logos, images, software, and the overall design, is the exclusive intellectual property of Bhayani Healthcare Private Limited or its licensors, protected under the Indian Copyright Act, 1957, the Trade Marks Act, 1999, and other applicable laws.

7.2Trademarks

All brand marks, service marks, trade names, and logos displayed on this Website are the property of Bhayani Healthcare Private Limited or their respective third-party owners. You may not use, reproduce, or display any such marks without prior written consent.

11.1Exclusion of Consequential Damages

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BHAYANI HEALTHCARE PRIVATE LIMITED, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR REPUTATION, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE WEBSITE, PRODUCTS, OR SERVICES.

11.2Cap on Liability

The Company's total cumulative liability for any and all claims shall not exceed the greater of: (a) the amount actually paid by you to the Company in the twelve (12) months immediately preceding the claim; or (b) INR 5,000 (Five Thousand Rupees).

11.3Medical Device Limitation

The Company shall not be liable for any adverse health outcomes arising from failure to follow audiologist-recommended usage guidelines, purchasing hearing aids without professional assessment, use of devices not prescribed or fitted for the individual, or modifications carried out by unauthorised service providers.

You agree to indemnify, defend, and hold harmless Bhayani Healthcare Private Limited and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to your violation of these Terms, content submitted by you, your use or misuse of any Product or Service, infringement of third-party rights, or provision of false information to the Company.

The Website may contain links to third-party websites or resources provided for convenience only. The Company has no control over and assumes no responsibility for their content, privacy policies, or practices. You access third-party links at your own risk.

14.1Applicable Law

14.2Exclusive Jurisdiction

Subject to the arbitration clause below, any dispute shall be subject to the exclusive jurisdiction of the courts located in Hyderabad, Telangana, India.

14.3Dispute Resolution and Arbitration

The parties shall first endeavour to resolve disputes amicably through good-faith negotiations within 30 days of written notice. Unresolved disputes shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996. The seat and venue shall be Hyderabad, Telangana, India, and the language of arbitration shall be English.

14.4Consumer Rights

Nothing in these Terms limits your rights as a consumer under the Consumer Protection Act, 2019 or any other applicable consumer protection legislation in India.

14.5Regulatory Compliance

Products sold through this Website comply with applicable medical device regulations under the Medical Devices Rules, 2017 and standards prescribed by the Central Drugs Standard Control Organisation (CDSCO).

The Company shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including acts of God, natural disasters, pandemics, war, terrorism, civil unrest, government actions, power outages, internet failures, or supply chain disruptions.

If a force majeure event continues for more than sixty (60) days, either party may terminate the affected order without liability, subject to a refund for undelivered products or services.

16.1Severability

If any provision of these Terms is found invalid or unenforceable, it shall be modified to the minimum extent necessary or severed, with the remaining provisions continuing in full force and effect.

16.2Waiver
